Scheme Engine Terms and Conditions

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Scheme Engine Vendor Portal located at the website app.schemeengine.com (the "Platform") operated by Scheme Engine ("us", "we", “our”, or “company”).

These Terms govern your access to and use of the Platform and the engagement between You (“User”, “Vendor”) and Scheme Engine (“Engagement”) wherein You provide technical or artistic production services in connection with Company’s film, video, and photography productions (“Services”). Your access to and use of the Platform and engagement with Scheme Engine is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, vendors, and others who access or use the Platform. By accessing or using the Platform you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Platform.

  1. User’s Services: In consideration of the usage of this Platform in order to receive Compensation, User agrees to perform or that they have performed, on a non-employee, independent contractor basis, all tasks customarily carried out by the position listed on the invoice submitted. User understands that their services for us are to be performed in a professional manner at all times. With that restriction in mind, however, User remains free as an independent contractor to perform his/her services within broad limits of reasonableness as to time, place, and manner. User acknowledges that his/her services hereunder are rendered on an independent contractor basis. Employment (or the engagement of services) hereunder in the United States is subject to User providing the requisite documents required by the Immigration Reform and Control Act of 1986 (IRCA) and completing and signing the required Form I-9 pursuant to IRCA Section 274a.2. User shall comply with the immigration verification employment eligibility provisions required by law.
  2. User’s Equipment: Any personal equipment User uses in the performance of his/her duties hereunder (the “Gear”; e.g., by way of example only, cameras, batteries, hard drives, CF cards, laptop computers, notebooks, microphones, make-up kits) is User's sole responsibility. Company shall not be liable for any loss or damage to Users’s Gear. Notwithstanding this, all shot footage, recorded audio, and any other material saved to- or stored on- any item of User’s Gear (the “Data”) is Company’s property and User hereby grants Company an unlimited license to access, control and make use of User’s Gear for the purposes of saving or retrieving this Data.
  3. Term: Commencing as of the earliest date of either A. the User first accesses the Platform or B. the User provides Services to Scheme Engine, and ending as of the latest date of either A. User has provided all services to be delivered and User has received all monies owed to User as outlined in the Invoice provided on the Platform. B. Company terminates the engagement.
  4. Termination: We may terminate or suspend this Engagement and access to our Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
  5. 4A.) Termination for Non-Appearance: Should User fail to appear promptly on the day of the Project, User shall cause irreparable damage to Company’s project and shall be liable for such damages incurred to Company in connection with User’s non-appearance, including but not limited to replacement fees, cancellation fees from any vendors, talent, and contractors, travel fees for any client, crew or talent.
  6. Work for Hire: Notwithstanding the foregoing, all provisions of this Agreement with respect to User’s grant, license or other transfer to Company of any and all rights (be it by assignment, “work-for-hire” provision, or otherwise) shall survive the Term and remain binding on User. During the Term User’s services shall be non-exclusive to Company and User shall be at liberty to seek and/or perform other work. Company’s decisions will control all business, creative and all other aspects of Production and distribution of the Project. User’s services may be terminated by Company for or without cause at any time.
  7. Accounts: When you create an account within the Platform, you must provide us information that is accurate, complete, and current at all times. Failure to do so may result in a delay in providing compensation for the Invoice submitted within the Platform and may constitute a breach of the Terms, which may result in immediate termination of your engagement with Scheme Engine and account on our Platform.
  8. Governing Law: These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.
  9. Entire Understanding: These Terms comprehend the entire understanding of the parties hereto and replaces any other arrangement, either written or oral. Any added conditions or cross-outs are null and void. The terms and conditions of this Agreement will be binding on Company and User and may not be waived or altered except in a later writing, signed by both parties, which explicitly references the present Agreement by date.
  10. Changes: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
